Terms of Service

These terms explain how LLCroad works, what we do for you and what we rely on you and third parties for. They apply to every order placed on our website. Please read them before you order: by ticking the box at checkout, you accept them.

Who we are

LLCroad is a service sold and operated by ALTRIX - FZCO, a company registered in IFZA free zone, Dubai, United Arab Emirates. Registered address: Building A1, Dubai Digital Park, Dubai Silicon Oasis, Dubai 342001, United Arab Emirates. Registration number: to be completed. In these terms, “we”, “us” and “our” refer to ALTRIX - FZCO, and “you” refers to the person placing the order, acting for themselves or for the company being formed.

Our services

LLCroad helps people who live outside the United States form and maintain a Wyoming limited liability company. We offer two kinds of services:

  • The formation package, an all-inclusive service that covers the filing of your company with the State of Wyoming, a registered agent in Wyoming for the first year (provided by our partner), the preparation and submission of your EIN application to the IRS, an operating agreement template, help opening a business bank account with partner banks such as Mercury, Relay or Wise, and the preparation of your company’s first annual IRS information return for foreign-owned companies.
  • Annual plans, which keep your company in good standing after the first year. The annual plan includes the registered agent, the Wyoming annual report and the annual IRS information return. The Standby plan is a lighter option that includes the registered agent and the annual report, without the IRS information return.
  • The exact content of each offer is described on our pricing page, which forms part of these terms.

Prices

Current prices are shown on our pricing page and again at checkout. The price you pay is the one confirmed at checkout when you place your order. The formation package price includes the State of Wyoming filing fee, and annual plan prices include the Wyoming annual report fee, as described on the pricing page. There are no hidden fees: nothing is added to the price confirmed at checkout.

We may change our prices for future orders and future renewal periods. If the price of your annual plan changes, we will let you know before your next renewal, so you can cancel if you wish.

Placing an order

You place your order online by choosing an offer, providing the requested information and paying. Before paying, you are asked to tick a box confirming that you have read and accept these terms and our privacy policy.

Your order is accepted once your payment is confirmed. We then send you a confirmation email with access to your client space. We may decline or cancel an order, with a full refund, if we cannot lawfully provide the service, for example when information provided is clearly false or when the order raises a sanctions or fraud concern.

Payment

Payments are collected by ALTRIX - FZCO and processed securely by Stripe. Your card details are entered directly with Stripe and are never stored by us.

Annual plans are billed in advance for each period and renew automatically using the payment method you saved, unless you cancel them as explained below.

Start of the service

We start working on your order once your payment is confirmed. After payment, your client space guides you through the next steps: completing your company information, uploading a photo of your passport (needed for the EIN application and for the bank’s identity checks) and signing electronically the mandate that authorizes us to act on your behalf.

Some steps can only move forward once you have provided what we need. The timeline in your client space always shows where your file stands.

Your commitments

To allow us to do our work properly, you agree to:

  • provide accurate, complete and up-to-date information, and tell us promptly if something changes;
  • provide a valid passport in your own name;
  • provide a real residential address where you can be reached;
  • use the company and our services only for lawful purposes, and comply with the laws that apply to you and to your company, including tax and reporting obligations in your country of residence;
  • keep your client space login details confidential.

What depends on third parties

Several steps of your file depend on organizations that act independently of us. The State of Wyoming decides on the formation of your company, the IRS issues your EIN, and banks decide on their own whether to open an account, according to their own criteria.

We prepare your applications carefully and submit them for you, but we cannot guarantee a decision or the time a third party will take. In particular, help opening a bank account does not mean the bank will approve your application. If a third party asks for additional information, we will help you respond.

Annual plans: renewal and cancellation

Your annual plan renews automatically at the end of each period so that your company stays in good standing without you having to think about it. We send you a reminder before each renewal.

You can cancel your plan at any time from your client space, in one click. To avoid the next charge, cancel before the renewal date. Cancellation takes effect at the end of the current period: you keep the services already paid for until then, and you will not be charged again.

Once a plan ends, the registered agent, the annual report and, where applicable, the IRS information return are no longer handled by us. To keep your company in good standing, you will then need to appoint another registered agent and take care of these obligations yourself.

Refunds

If you change your mind before we submit your company’s filing to the State of Wyoming, we refund your order in full.

Once the filing has been submitted, the fees paid to the State of Wyoming and to other third parties on your behalf can no longer be recovered and are not refundable. If you cancel at that stage, we refund the part of the price that corresponds to services we have not yet performed. Annual plan periods that have started are not refunded, except where the law requires otherwise.

To request a refund, simply write to us through our contact page. Refunds are made to the payment method used for the order.

Right of withdrawal for consumers in the European Union

If you are a consumer living in the European Union, you have a right to withdraw from your order within 14 days of the day your order is confirmed, without giving any reason. To use it, send us a clear statement through our contact page.

Because our work is time-sensitive, we start right after payment. By ticking the box at checkout, you expressly ask us to start the service during the withdrawal period, and you acknowledge that you lose your right of withdrawal once the service has been fully performed.

If you withdraw after asking us to start, you will pay an amount proportionate to what has been provided up to the time you tell us, including any fees already paid to the State of Wyoming or other third parties on your behalf. We refund the rest without undue delay, using the payment method you used.

General information, not legal or tax advice

Our services, guides and templates, including the operating agreement template, are administrative help and general information, not personalised legal or tax advice.

Liability

We perform our services with care and in line with professional standards. We are responsible for the work we carry out ourselves, but not for the decisions, delays or errors of the State of Wyoming, the IRS, banks or other independent third parties, nor for consequences resulting from inaccurate or incomplete information you provided.

To the extent permitted by law, our total liability for all claims is limited to the amounts you paid us in the 12 months before the event giving rise to the claim, and we are not liable for indirect losses such as loss of profit or loss of opportunity.

Nothing in these terms limits our liability for fraud, gross negligence, wilful misconduct, or any liability that cannot be limited under the law that applies to you.

Your client space

Your client space lets you follow your file, upload documents, sign, manage your plan and download your company documents. You are responsible for the activity carried out with your login details. If you think someone has accessed your account, please tell us right away.

The website, its content and the LLCroad brand belong to us or our licensors. The documents prepared for your company are yours to use for your company.

Personal data

We process your personal data to provide our services, as explained in our privacy policy. Cookies are described in our cookie policy.

Changes to these terms

We may update these terms from time to time. The version that applies to an order is the one you accepted at checkout. For annual plans, we will tell you about significant changes before your next renewal, and you can cancel if you do not agree with them.

Governing law and disputes

These terms are governed by the law of the seller’s jurisdiction stated above (IFZA free zone, Dubai, United Arab Emirates). If you are a consumer living in the European Union, this choice does not deprive you of the protection of the mandatory rules of your country of residence, and you may bring a claim before the courts of that country.
