How to dissolve a Wyoming LLC, step by step

Verified on October 22, 2026 · By LLCroad

Short answer

To close a Wyoming LLC, you file Articles of Dissolution with the Wyoming Secretary of State on the state business registry, then file a final Form 5472 with its pro forma Form 1120 for the last year. Closing the company yourself gives it a clear end date, instead of waiting for the state to dissolve it after an annual report left past due.

When closing the company makes sense

Founders close an LLC for simple reasons: the project has ended, the activity moves to a company in their own country, or several companies are merged into one. Whatever the reason, a voluntary dissolution is a short, orderly process that you can complete entirely from abroad.

Before you file

  1. Finish ongoing client work, send the last invoices and settle what the company owes.
  2. Close Stripe and your other payment or marketplace accounts once the last payouts have arrived.
  3. Keep the bank account open until every payment and bill has cleared, then transfer the balance to your personal account and close it.
  4. Bring the Wyoming annual report up to date, so the company is in good standing when you file.

Articles of Dissolution with Wyoming

Dissolution is filed with the Wyoming Secretary of State through the online business registry. The Articles of Dissolution identify the company and confirm that its members have decided to dissolve it. The state charges a filing fee, listed on its official fee schedule.

Once the filing is accepted, the company’s status on the public registry shows it as dissolved. Keep the filed document with your records: banks, payment platforms and tax authorities may ask for it.

The final IRS filings

A single-member LLC owned by a non-resident files Form 5472 with a pro forma Form 1120 for every year it exists, including the last one. The final return covers the period up to the closing date and is marked as a final return. For a calendar-year company, the usual deadline is April 15; a company that closes during the year can have an earlier deadline, so it is best filed as soon as the last period ends.

This filing goes to the IRS by fax at 855-887-7737 or by mail. Like every year, a missing form carries a penalty of $25,000. After the final return, the IRS can close the company’s business account on request, as explained on its page about closing a business. The EIN itself is never reassigned to another company.

Ending the registered agent and the annual plan

Wyoming requires a registered agent for as long as the company exists, so the agent service ends once the dissolution has been accepted. With LLCroad, we stop the renewal at that point and the annual plan does not renew either.

If you are on the annual plan, the final Form 5472 and pro forma 1120 are prepared as part of it; the plans are detailed on our pricing page. If you later start a new project, a new LLC can be ordered in a few minutes.

Why a voluntary dissolution is the cleaner path

Letting the annual report lapse also ends the company: after 60 days past due, Wyoming dissolves it administratively. A voluntary dissolution is cleaner. The company gets a chosen end date on the public record, the final federal return matches that date, and banks or platforms see an orderly closure.
