Wyoming registered agent: what it does and why you need one
Verified on October 22, 2026 · By LLCroad
Short answer
A registered agent is the person or company that receives official and legal mail for your LLC at a physical street address in Wyoming, and every Wyoming LLC must keep one at all times. A company left without an agent can be dissolved by the state, and reinstating it then involves a $350 fee. With LLCroad, the registered agent is included in the first year and in every annual plan.
What a registered agent does
The registered agent is your company’s official point of contact in Wyoming. Its name and address appear in your Articles of Organization and on the Wyoming business registry, so anyone who needs to reach the company formally knows where to send documents.
- Receives legal documents, including service of process if someone takes legal action against the company.
- Receives state mail, such as annual report notices from the Secretary of State.
- Forwards everything to you quickly, usually as a scan by email.
- Keeps a contact person on file for the company, so a real person can be reached when something arrives.
Why Wyoming requires one
The state needs a reliable address inside Wyoming for every company it registers. That address must be a physical street address where someone is present during business hours, not a PO box. Since most founders abroad have no office in Wyoming, a professional registered agent fills that role for them.
The agent also helps you keep the company in good standing. For example, the annual report is due on the first day of the anniversary month of formation, and a reminder from your agent makes that date hard to miss. More in the Wyoming annual report guide.
What happens without a registered agent
If the agent resigns or the service is not renewed and no new agent is appointed, the state can start an administrative dissolution, in the same way it does when an annual report stays unpaid 60 days past its due date. Bringing a company back after a dissolution for this reason requires a reinstatement fee of $350, plus the missing filings. Keeping the agent active each year is the simple way to avoid all of this.
Agent address vs your company address
The registered agent address is for official mail only. It is not your business address for banks or customers: Mercury, for example, requires a real physical address and refuses the registered agent’s address, a PO box or a virtual address. Use your actual home or office address in your country of residence for the bank account and your operations.
Changing your registered agent
You can change agents at any time by filing a change of registered agent with the Wyoming Secretary of State, signed by the new agent. If you move an existing Wyoming LLC to LLCroad, we prepare that filing with you.
