Wyoming LLC: the complete guide for founders abroad
Verified on October 22, 2026 · By LLCroad
Short answer
A Wyoming LLC is a limited liability company registered with the Wyoming Secretary of State, and you do not need to be a US citizen or resident to own one. The state filing fee is $100 and the annual report starts at $60, which keeps yearly upkeep simple when you run your business from another country.
What a Wyoming LLC is
An LLC is a US company with its own legal existence: it has its own name, signs contracts, opens a bank account, receives payments and gets its own tax number, the EIN. Its owners are called members, and a single founder can own the whole company on their own.
A Wyoming LLC is created by filing Articles of Organization with the Wyoming Secretary of State, on the official business registry. Once the filing is accepted, the company exists and can be used from anywhere in the world.
Why founders abroad choose Wyoming
- Clear, low state fees: one filing fee at formation, then an annual report from $60.
- No residency requirement: members and managers can live in any country.
- Light paperwork: the Articles of Organization name the registered agent and the organizer, not the members.
- No federal ownership report: under the final FinCEN rule, US companies no longer file a BOI report.
- Fully remote: filing, EIN, bank account and payment tools can all be handled online.

What you need to start
- A valid passport.
- Your real home or office address in your country of residence. Banks ask for it, and it cannot be the registered agent’s address or a virtual address.
- A company name. You can check that it is free on the Wyoming name search.
- A short description of what the company will do: software, e-commerce, consulting, content and so on.
- An email address and a phone number you check regularly.
How formation works, step by step
- You choose the name and tell us about your activity.
- We file the Articles of Organization with Wyoming and act as your registered agent.
- You receive the filed Articles and an operating agreement template to keep with your records.
- We request the EIN by fax with Form SS-4, without an SSN. The IRS usually answers in about 4 business days. Details in EIN without SSN.
- We help you open the bank account that serves your country of residence. Check yours with our bank by country tool.
- You connect payment tools and marketplaces to the company and start selling.
What you file every year
A Wyoming LLC has a short list of yearly tasks. The annual report is due on the first day of the anniversary month of formation. The registered agent service is renewed each year. A single-member LLC owned by a non-resident also files Form 5472 with a pro forma Form 1120, due April 15 for a calendar-year company.
Our annual plan at $300 per year covers the registered agent, the Wyoming annual report including the state fee, and Form 5472 with the pro forma 1120. The Standby plan at $189 per year covers the agent and the annual report if you prefer to handle Form 5472 elsewhere. The full breakdown is in what a Wyoming LLC costs.
