Wyoming annual report: due date, fee and how it is filed
Verified on October 22, 2026 · By LLCroad
Short answer
Every Wyoming LLC files an annual report with the Secretary of State, due on the first day of the month in which the company was formed. It comes with a license tax of at least $60, and our annual plan files it for you each year, state fee included.
What the annual report is
The annual report is a short filing with the Wyoming Secretary of State. It confirms that the company is still active, keeps its contact details and registered agent current, and pays the yearly license tax. It is filed online on the Wyoming business registry.
It is not a tax return. Federal filings such as Form 5472 with its pro forma 1120 go to the IRS separately, on their own calendar.
When it is due
The report is due on the first day of the anniversary month of the company’s formation. An LLC formed in March files every year from the first of March, starting the year after formation. The date never moves, which makes it easy to plan.
| Item | What applies |
|---|---|
| Due date | First day of the anniversary month of formation |
| License tax | From $60 |
| Past due | From the following month |
| Administrative dissolution | After 60 days past due |
| Reinstatement | Possible for up to 2 years |
How much it costs
The license tax is the greater of $60 and a small fraction of the company’s assets located in Wyoming. An LLC run from abroad usually holds no assets in Wyoming, so it pays the minimum, year after year. The amounts are set by the state on its official fee schedule.
With LLCroad, this state fee is already included in the annual plan. You do not pay anything extra to Wyoming.
After the due date
A report that has not been filed becomes past due the following month. If it stays past due for 60 days, the Secretary of State administratively dissolves the company.
A dissolved company can be reinstated by filing the missing reports, paying the license taxes due and a reinstatement fee. When the company also has no registered agent on file, that fee is $350. Reinstatement is no longer possible after 2 years.
Filing on time keeps things simple: one short report, one fixed date, the minimum license tax. That is why we take care of it as soon as your anniversary month begins, well before the report becomes past due.
How LLCroad handles it for you
- Year one: the formation price of $489 includes the state filing fee and your registered agent for the first year.
- From year two: the annual plan at $300 per year renews the registered agent, files the annual report with the state fee included, and prepares Form 5472 with the pro forma 1120.
- Standby plan: at $189 per year, it covers the registered agent and the annual report if you prefer to handle Form 5472 elsewhere.
We file the report at the start of your anniversary month and send you the confirmation from the state, so the company stays active without you tracking dates. Compare the options on our pricing page, or order your LLC and let us handle the calendar from day one.
